Pricing:

Prices are subject to change without notice. Merchandise will be invoiced at the prices in effect on the day of shipment. All orders subject to approval.

Resale Exemption Certificate:

All new customers must provide a signed copy of their Resale Exemption Certificate.

Payment Terms and Conditions:

Payment terms are NET 30 DAYS from invoice date with established credit.

New accounts must be accompanied by a completed Customer Account Application, Resale Certificate and Credit Terms Application (assuming Net terms desired). All applications are subject to the approval of M. Block and Sons, Inc.

Cash In Advance or Credit Card Terms are available.

1 1/2% Service Charge Per Month will be added to all Past Due Accounts.

A $75 charge will be posted to the account for any check returned as NSF.

Payment of all accounts due, as evidenced by the account, shall be made not later than the due dates as indicated on each invoice under the "TERMS".

If applicant fails to pay the account balance when due, and if Seller, in its sole judgment deems it necessary to engage a licensed collection agency or attorney for legal action, applicant agrees it shall pay, in addition to the account balance, all charges of the collection agency, legal fees and expenses.

Applicant agrees to immediately notify M. Block and Sons, Inc. in writing, of any changes in ownership form of said business and address.

Back Orders:

Orders are shipped on a stock-available basis. All backorders will be canceled. Product that is not available to ship at the time that the order is released to the warehouse will be canceled from the order. Please submit a new order for the canceled items.

    • LTL: Collect with customer-specified carrier or 3rd Party Billing. If no carrier specified, Charges Prepaid and Added to invoice via House Carrier.

Freight Accessorial Charges are the customer’s responsibility (Inside Delivery, Residential Delivery, Lift gate, Call Before Delivery, Reconsignments, etc.)

Minimum Order: $300 to one shipping location

Promotional offerings will be based on the shippable inventory. Out of stock items will not qualify for promotional prices or freight specials.

Transit Claims:

Title to goods and risk of loss passes to purchaser upon delivery to the carrier at time of shipment. Responsibility for loss or damage in-transit rests with the purchaser.

All goods are shipped at the buyer’s risk and all claims must be filed against the carrier. Refusing to accept merchandise from the carrier does not alter the terms of the sale.

Claims against invoices will be disallowed unless submitted to us within 48 hours of receipt of product.

Returns:

No returns. Defectives will be handled via destroy & deduct with prior approval from Zavor.

ZAVOR MINIMUM ADVERTISED PRICE POLICY

Market Solutions Group, Inc. dba ZAVOR America has implemented a new Minimum Advertised Price (MAP) policy, effective as of August 1st, 2018. The MAP policy is outlined in this policy statement and ZAVOR America may modify or amend the MAP policy from time to time in its sole discretion.

Policy Statement

ZAVOR adopts its unilateral MAP policy to ensure the integrity of its Products (as defined below), and an orderly marketplace. It’s ZAVOR’s policy to disallow any Advertisement (as defined below) of any ZAVOR Product, including any image(s), description(s) and/or trademark(s) of or relating to such Product, at a price below the MAP.

You have the legal right to set your own prices independently, but ZAVOR may place restrictions on how the prices may be communicated. Should your price on an item be lower than the ZAVOR’s MAP policy, ZAVOR will not allow you to show the price until the customer takes further action, such as placing the item in a shopping cart, or in some cases, proceeding to the final checkout stage.

ZAVOR’s MAP policy will apply to the communication or dissemination of advertised prices and does not relate to actual sales prices of any item. ZAVOR shall be entitled to take any action under this policy, at its sole discretion, as a result of your failure to comply with this policy, as set forth in the “Failure to Comply” section below. Should you fail to comply with ZAVOR’s MAP policy, ZAVOR may revoke, in whole or in part, your authorization to sell its Products. ZAVOR reserves the right to set, change, modify and/or discontinue any of its Product or its MAP at any time, without advance notice and without liability.

As used herein, “Advertisement” refers to any communication or dissemination to prospective customers and/or consumers that identifies one or more Products, which can be viewed or heard by the prospective customer and/or consumer; including, without limitation, all forms of print and electronic media, third-party platforms, direct mail, audio and/or video communications, whether in the form of posted prices, postcards, flyers, radio, television, billboard, magazine, trade journal, airplane banners, newspaper inserts, internet “banner” advertisements, telemarketing, any price that can be printed from electronic form by the prospective customer and/or consumer, facsimiles of prices, e-mails of prices, auto-generated facsimile or electronic communications, instant messaging, metadata, search engine(s) and/or any other form of electronic communication. Any price information relating to ZAVOR products on an Internet website or in email which can be accessed directly through any hypertext link or by any other method which uses the hypertext transfer protocol (http) is considered to be advertising for purposes of this policy. Any form of face-to-face or live, direct communication between Customer and a prospective customer and/or consumer in response to a specific inquiry from the prospective customer and/or consumer, or a communication by Customer to the prospective customer and/or consumer preceded by a face-to-face or live, direct communication, is not an “Advertisement” within the scope of this policy.

ZAVOR America sales representatives have no authority to modify or grant exceptions to this policy. All questions or comments regarding this MAP policy are to be directed to Sara de la Hera, VP of Sales & Marketing (sara@marketsolutionsgrp.com) and Miguel Salamanques, Director of Digital Strategy (miguel@marketsolutionsgrp.com). These persons shall be solely responsible for determining whether a violation of the policy has occurred, communicating decisions to resellers regarding the policy and receiving any communication regarding sanctions imposed under this policy.

As used herein, “Product” refers to any ZAVOR brand kitchen, household and appliances products marketed and sold under any and all sub-brands.


Failure to Comply

First Violation A warning will be issued that Product(s) are being advertised below MAP. Customer shall then comply within twenty-four (24) hours. Should Customer fail to comply within the foregoing time period, or if Customer cannot comply, ZAVOR reserves the right to immediately revoke Customer’s right to be a dealer or distributor of Products entirely, ceasing fulfillment of all pending purchase order(s) and any future purchase order(s) for a period of thirty ( 30) days ( after which time, Customer would have to re- qualify as ZAVOR-approved distributor or dealer).

Second Violation Should Customer fail to comply with the terms of this policy after notice of a first violation and/or should Customer receive a notice of a second violation of any kind, ZAVOR reserves the right to immediately revoke Customer’s right to be a dealer or distributor of Products entirely, ceasing fulfillment of all pending purchase order(s) and any future purchase order(s) for a period of one (1) month (after which time, Customer would have to re-qualify as ZAVOR-approved distributor or dealer).

Third Violation Should Customer fail to comply with the terms of this policy after notice of a second violation and/or fail to cure prior violation(s), ZAVOR reserves the right to immediately revoke Customer’s right to be a dealer or distributor of Products entirely ceasing fulfillment of all pending purchase order(s) and any future purchase order(s) for a period of 10 years (after which time, Customer would have to re- qualify as ZAVOR-approved distributor or dealer).
